1. About Us

1.1 We, Allure Ventures Limited, a company registered in England and Wales under company number 15247845, with our registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Touriesta", "we", "us" or "our"), operate the Touriesta online marketplace platform (the "Platform") accessible through our website at touriesta.com and associated mobile applications ("Apps").

1.2 The Platform serves as an intermediary marketplace where third-party suppliers ("Suppliers") can list and offer various activities, tours, tickets and other services ("Activities") to users ("Users", "you" or "your"). We facilitate the booking process between Users and Suppliers but are not ourselves a provider of Activities.

2. Scope of Application

2.1 These General Terms and Conditions ("Terms"), together with our Privacy Policy and any applicable Supplier terms, govern all use of the Platform and all bookings made through it.

2.2 By accessing or using the Platform in any manner, you expressly acknowledge and agree that you have read, understood, and agree to be bound by these Terms. If you do not unconditionally agree to all of these Terms, you must immediately cease all access and use of the Platform.

3. Platform Operation

3.1 Touriesta acts solely as an intermediary between Users and Suppliers. The contract for the provision of any Activity is concluded exclusively and directly between you and the relevant Supplier. When you make a booking through the Platform, you are not entering into a contract with Touriesta for the provision of the Activity itself.

3.2 We do not verify the accuracy, completeness or currency of the information provided by Suppliers regarding their Activities, including but not limited to descriptions, photographs, prices, availability, or any other specifications. While we endeavor to ensure the smooth operation of the Platform, we cannot guarantee that all information provided by Suppliers is accurate, complete or current at all times.

4. User Accounts

4.1 While certain features of the Platform may be accessed without registration, to access all functionalities and make bookings you must create a user account ("Account") by providing complete and accurate information as prompted during the registration process.

4.2 You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to immediately notify Touriesta of any unauthorized use of your Account or any other breach of security.

4.3 You represent and warrant that all information provided during registration and in connection with your use of the Platform is and will remain complete and accurate. You may not create more than one Account, and you may not transfer or assign your Account to any third party.

5. Bookings and Payments

5.1 When you select and book an Activity on the Platform, you are making an offer to enter into a contract with the relevant Supplier. The contract between you and the Supplier is formed when we issue a booking confirmation on behalf of the Supplier.

5.2 All prices displayed on the Platform are inclusive of applicable taxes and fees unless otherwise stated. Prices are subject to change based on factors including but not limited to demand, availability, and currency fluctuations. The final price payable will be confirmed at the time of booking.

5.3 Full payment for all bookings is required at the time of reservation unless otherwise expressly stated during the booking process. We accept payment via major credit and debit cards as well as other payment methods as may be indicated on the Platform from time to time.

5.4 By providing payment information, you represent and warrant that: (i) the payment details you provide are complete, correct and accurate; (ii) you are duly authorized to use the payment method; and (iii) you will maintain sufficient funds or credit availability to cover the full cost of the booking.

6. Cancellations and Refunds

6.1 Users may cancel bookings subject to the following cancellation policy:
(a) For cancellations made more than 24 hours prior to the scheduled start time of the Activity: Users will receive a full refund of all amounts paid;
(b) For cancellations made 24 hours or less prior to the scheduled start time of the Activity or in case of no-show: No refund will be provided.

6.2 Suppliers reserve the right to cancel bookings due to circumstances beyond their reasonable control, including but not limited to Force Majeure Events (as defined below), safety concerns, or insufficient participation. In such cases, Users will receive a full refund of all amounts paid for the cancelled Activity.

6.3 All refunds will be processed to the original payment method used for the booking within fourteen (14) business days of the cancellation being confirmed. The exact timing of the refund appearing in your account may vary depending on your financial institution's processing times.

7. Supplier Obligations and Insurance

7.1 Suppliers are solely and exclusively responsible for all aspects of the Activities they provide, including but not limited to:
(a) The safety and well-being of all participants during the Activity;
(b) The maintenance, safety and proper operation of any equipment, vehicles or facilities used in connection with the Activity;
(c) Compliance with all applicable laws, regulations, licensing requirements and industry standards relevant to the provision of the Activity.

7.2 All Suppliers must maintain current and valid insurance coverage appropriate for the Activities they provide, including at a minimum:
(a) Public liability insurance with coverage of not less than £2,000,000 (two million pounds sterling) per incident;
(b) Professional indemnity insurance where the Activity involves instruction, guidance or other professional services;
(c) Comprehensive motor vehicle insurance for any transportation services provided as part of an Activity.

7.3 Suppliers represent and warrant that they will at all times:
(a) Possess all necessary licenses, permits, certifications and other authorizations required to lawfully provide their Activities;
(b) Comply with all applicable health and safety regulations;
(c) Maintain their insurance policies in full force and effect throughout the duration of any bookings made through the Platform.

8. Liability for Accidents and Injuries

8.1 Suppliers assume full and sole liability for any accidents, injuries, illnesses or deaths that occur during or in connection with their Activities. This includes but is not limited to:
(a) Injuries caused by defective or improperly maintained equipment;
(b) Injuries resulting from inadequate safety measures or supervision;
(c) Food-borne illnesses or allergic reactions during Activities involving food or beverages;
(d) Any other harm caused by the Supplier's acts, omissions or negligence.

8.2 Touriesta expressly disclaims all liability for:
(a) Any personal injury, illness or death occurring during or related to an Activity;
(b) Any loss or damage to personal property during an Activity;
(c) Any acts, omissions, negligence or misconduct of Suppliers or their personnel.

8.3 Users acknowledge and agree that:
(a) Touriesta does not conduct safety inspections of Activities, equipment or facilities;
(b) Touriesta does not verify Supplier compliance with safety standards or insurance requirements;
(c) Participation in certain Activities may involve inherent risks, including but not limited to adventure sports, water activities, and other physically demanding experiences.

8.4 Users are strongly advised to obtain comprehensive travel and accident insurance that specifically covers participation in all booked Activities, including coverage for:
(a) Medical expenses and emergency evacuation;
(b) Personal injury and accidental death;
(c) Cancellation and curtailment;
(d) Loss or damage to personal belongings.

9. Force Majeure

9.1 Neither Touriesta nor any Supplier shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from a Force Majeure Event. For purposes of these Terms, "Force Majeure Event" means any event beyond the reasonable control of the affected party, including but not limited to:
(a) Natural disasters such as floods, earthquakes, hurricanes and storms;
(b) Acts of war, terrorism, civil unrest or insurrection;
(c) Government actions, including travel restrictions, border closures or quarantine requirements;
(d) Pandemics, epidemics or public health emergencies;
(e) Strikes, lockouts or other labor disputes;
(f) Utility or infrastructure failures.

9.2 In the event that a Force Majeure Event affects a booked Activity:
(a) The Supplier may cancel the Activity without liability;
(b) Touriesta will use reasonable efforts to facilitate rescheduling where possible;
(c) If rescheduling is not possible, Users may receive Platform credits for future bookings in lieu of cash refunds.

10. User Content

10.1 The Platform may allow Users to submit reviews, photographs, videos and other content ("User Content"). By submitting User Content, you grant Touriesta a perpetual, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display and perform such User Content in connection with the Platform and Touriesta's business.

10.2 You represent and warrant that:
(a) You own or have the necessary rights, licenses, consents and permissions to submit the User Content and to grant the rights granted in these Terms;
(b) The User Content is accurate and truthful;
(c) The User Content does not infringe any third party's intellectual property rights, privacy rights or other legal rights;
(d) The User Content complies with all applicable laws and regulations.

10.3 Touriesta reserves the right (but has no obligation) to monitor, edit or remove any User Content that we determine in our sole discretion:
(a) Violates these Terms or any applicable law;
(b) Is false, misleading or defamatory;
(c) Contains advertising or promotional content;
(d) Is otherwise objectionable or inappropriate.

11. Intellectual Property Rights

11.1 The Platform and all content and materials available through it, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations and software (collectively, the "Platform Content"), are the property of Touriesta or its licensors and are protected by intellectual property laws.

11.2 You are granted a limited, non-exclusive, non-transferable license to access and use the Platform and Platform Content solely for your personal, non-commercial use in accordance with these Terms. No other use is permitted without our prior written consent.

11.3 You may not:
(a) Copy, modify, distribute, sell or lease any part of the Platform or Platform Content;
(b) Reverse engineer or attempt to extract the source code of the Platform or any software associated with it;
(c) Use any data mining, robots or similar data gathering or extraction methods.

12. Data Protection

12.1 Touriesta processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to such processing.

12.2 Suppliers are independent data controllers for any personal data they collect directly from Users in connection with the provision of Activities. Suppliers are solely responsible for complying with all applicable data protection laws in relation to such data.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, Touriesta shall not be liable for:
(a) Any indirect, incidental, special, consequential or punitive damages;
(b) Any loss of profits, revenue, data, use, goodwill or other intangible losses;
(c) Any damages relating to your access to, use of, or inability to access or use the Platform;
(d) Any damages relating to any conduct or content of any third party on the Platform.

13.2 Touriesta's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of:
(a) The total amount paid by you to Touriesta in the twelve (12) months preceding the event giving rise to the claim; or
(b) Five hundred pounds sterling (£500).

13.3 Nothing in these Terms shall limit or exclude liability for:
(a) Death or personal injury caused by negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Any other liability that cannot be limited or excluded under applicable law.

14. Governing Law and Dispute Resolution

14.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.

14.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation.

14.3 Users and Touriesta agree to attempt to resolve any disputes amicably through good faith negotiations before initiating any formal proceedings.

15. General Provisions

15.1 Touriesta reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and indicating the effective date of the changes. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.

15.2 If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15.3 These Terms constitute the entire agreement between you and Touriesta regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.

15.4 The failure of Touriesta to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
